Consequences (последствия) of default.

A)    Termination of the Agreement with immediate effect:

Lessee shall

-      Deliver to Lessor within five days a complete and up to date (на последнюю дату) positioning list(месторасположение) of the equipment

-      Update such list (обновлять местоположение) on a weekly basis (еженедельно) until all the equipment has been put at the disposal of Lessor

-      Put the equipment at the earliest possible time at the disposal of Lessor (передать арендодателю) but in no case later than within ninety days to any of the following storage places with storage fees (плата захранение) for two months prepaid (Hamburg, Antwerp, Rotterdam)

-      Reimburse (возместить) Lessor within thirty days after the first call all reasonable costs incurred(произошедшие в связи) in connection with the recovery (восстановлением) and disposition(перемещением) of the equipment.

Lessor shall

-      Within ten days after the return of all the equipment and settlement (оплаты) of all claims (всех претензий)render (передать) to Lessee all Promissory Notes ( все векселя) with due dates after the default has occurred(произошел)

-      Released all assets of Lessee which it might have attached (арестовано) with Court (судом) assistance or otherwise.

B)    Continuation (продолжение) of the Agreement

Lessor will in such case waive (исключить) to claim the leasing charges (арендная плата) which have a due date later than after the Default has occurred. It shall take repossession of the equipment, dispose it on a best available offer base and claim from Lessee any amounts up to the accumulated unpaid leasing charges less the net proceeds (денежные поступления) received upon the disposal (продажа) of the equipment.

Lessee shall in such case

-      Return the equipment in fully usable condition at the earliest possible time but not later than within ninety days to any of the following storage places with storage fee prepaid for two months (Hamburg, Antwerp, Rotterdam)

-      Deliver to Lessor within five days a complete and up to date (на последнюю дату) positioning list(месторасположение) of the equipment

-      Update such list (обновлять местоположение) on a weekly basis (еженедельно) until all the equipment has been put at the disposal of Lessor

-      Pay Lessor on first call within ten days all sums due and not already recovered upon disposition of the equipment

Lessor shall

-      Release all assets of Lessee which it might have attached with Court assistance or otherwise.

C)    Additional option of Lessor

In the event that Lessee should fail to promptly comply with all its obligations under this Default clause(раздел, параграф) Lessor shall have the right to declare Cross Default by giving Lessee the respective(соответствующий) notice.

Such Cross Default shall become effective five days after Lessor has sent respective notice to Lessee, unless Lessee should within such time period fully honor its commitments (обязательства) under this default clause.

Cross Default shall have the consequence (последствия) that

-   Any and all outstanding charges (неполученные платежи) of Lessee owed (быть должным) to Lessor under any Agreement which are unpaid at the time when Cross Default has become effective will become due (подлежащие оплате) and payable with immediate effect.

-   That Lessor is therefore entitled (получает право) to collect its claims from any creditor of Lessee for any sums up to amount stipulated (указанный) in the assignment (задание) provided (при условии) that Lessor shall in no case collect from such third party creditors an amount in excess (сумму превышающую) of all outstanding leasing charges of Lessee owed to Lessor at such point in time plus damages as defined in the present Agreement.

Any payment of third parties under said assignment shall be accounted (принят на счет) as payment of Lessee.

On receipt of full payment Lessor shall be obliged to release forthwith any equipment which it might have attached but not then disposed according to the terms of the present Agreement.
